Corporate Paralegal

We are seeking a detail-oriented and experienced Corporate Paralegal to support our in-house corporate legal team in managing corporate governance, compliance, and transactional matters. The ideal candidate will have a strong understanding of corporate law, excellent organizational skills, and the ability to work independently in a fast-paced environment.

Corporate Paralegal - Key Responsibilites:

• Draft and maintain corporate documents including resolutions, bylaws, and meeting minutes.
• Assist with entity formation, dissolution, and maintenance across multiple jurisdictions.
• Manage corporate records and ensure compliance with state and federal filing requirements.
• Support attorneys in M&A transactions, due diligence, and contract administration.
• Coordinate board and committee meetings, including preparation of agendas and materials.
• Monitor and track regulatory filings, deadlines, and compliance obligations.
• Liaise with internal departments and external counsel as needed.
• Maintain and update legal databases and document management systems.

Corporate Paralegal - Qualifications:

• Associate degree required; Bachelor's degree or Paralegal Certificate preferred.
• 4+ years of experience in a corporate legal department or law firm.
• Strong knowledge of corporate governance and legal entity management.
• Proficiency with legal research tools and entity management software (e.g., Diligent Entities, CSC).
• Excellent written and verbal communication skills.
• High attention to detail and ability to manage multiple priorities.
